GoPro Enters $285 Million Merger Agreement With Starman Optical to Pivot Into AI and Defense Tech
Action camera pioneer GoPro has entered into a definitive merger agreement with Starman Optical, a privately held optical-photonics company, in a transaction valued at approximately $285 million. Under the terms of the agreement announced on September 1, 2026, GoPro shareholders will receive $1.14 per share in cash and retain roughly 10 percent equity in the combined entity. The transaction also fully eliminates GoPro's existing debt of approximately $92 million, positioning the device maker with a clean, substantially debt-free balance sheet as it transitions into a new operational chapter.
The merger marks a major strategic pivot for the iconic consumer gadget brand, which has faced severe financial headwinds and intense market competition from smartphone camera improvements in recent years. While GoPro will remain a publicly traded company on the Nasdaq and continue supporting its flagship consumer action cameras, mobile accessories, and cloud subscription platform, the partnership enables an aggressive expansion into enterprise, government, defense, and aerospace sectors. Starman Optical's advanced optical transceiver technology and U.S.-based manufacturing capabilities will be integrated into GoPro's hardware ecosystem, opening new avenues in artificial intelligence infrastructure and optical communications.
For consumers and tech enthusiasts, GoPro confirmed that its existing line of cameras and software tools will not be discontinued. However, the cash infusion and technical integration will allow the company to leverage its extensive portfolio of over 2,500 patents beyond traditional action-sports gear, setting the stage for next-generation imaging gadgets and smart optical hardware.
